Rubelis OÜ
Presence Instructor Licence Agreement
Last updated: October 2026
Version: 2026-10-20
1. Parties
This agreement is entered into between Rubelis OÜ, registered in Estonia under registry code 17579501, Tartu mnt 67/1-13b, 10115 Tallinn, Estonia (“Rubelis”), and the PADI Instructor whose details are given in the membership form (“Instructor”), upon the Instructor’s digital acceptance.
Rubelis OÜ is always the licensor of the Course, the Materials and all related intellectual property. The instructor training is sold by:
- Taylan Kırali, sole proprietor, Rubelis’s exclusive distributor in Türkiye under agreement no. RB-OÜ-TR-2026-001 of 19.08.2026 (Atatürk Cd. EGS Business Park No:12/1, Yeşilköy, Bakırköy, Istanbul; Bakırköy Tax Office, tax no. 5560293797; KEP taylankirali@hs01.kep.tr), where the Instructor is a citizen of the Republic of Türkiye who lives in Türkiye; or
- Rubelis OÜ, for all other Instructors.
The seller is shown in the membership form before payment and in the order confirmation email (“Seller”).
2. Definitions
- Course: the Rubelis Presence Diver course, reviewed by PADI as a Distinctive Specialty.
- Author: Taylan Kırali, author of the Course.
- Theory Programme: the Rubelis Beyond Diver programme, the mandatory knowledge development component of the Course.
- Materials: the Instructor Outline, the Instructor Guide, evaluation records and all content provided in the portal.
- Licence Year: each 12-month period starting on the date the Author grants permission.
- Certification: a Rubelis Presence Diver certification processed by the Instructor through the PADI system during a Licence Year.
3. Scope of the licence
3.1. Rubelis grants the Instructor the right to teach the Course in accordance with PADI standards and to use the Materials for that purpose. The licence is non-exclusive and non-transferable, and may not be sublicensed.
3.2. The licence begins once the Instructor has completed the instructor training and the Author has granted written permission. The issue of a PADI rating is PADI’s decision; Rubelis does not guarantee it.
3.3. The Instructor must maintain PADI Teaching status throughout the licence. If Teaching status lapses, the licence is suspended.
3.4. PADI prerequisites. PADI’s requirements for a direct rating application apply. The Instructor must hold Teaching status as a PADI Open Water Scuba Instructor or higher, have issued at least 25 diver certifications (no more than 5 of them from courses without dives), have logged at least 20 dives in this specialty area, and complete the Theory Programme (included in the fee). The Instructor confirms these prerequisites in the membership form.
3.5. Teaching in Türkiye. In Türkiye, dive training may only be given by dive centres and clubs authorised by the Turkish Underwater Sports Federation (TSSF) and by instructors registered under their authorisation. A licensee may teach the in-water sessions of the Course in Türkiye only while registered, as a PADI Instructor, under the authorisation of a TSSF-authorised dive centre, and only through that centre.
4. Fees
4.1. Instructor training fee: 199 € where the Seller is Rubelis OÜ (paid in euros through Stripe), or 13.900 TL including 20% VAT where the Seller is Taylan Kırali (paid in Turkish lira through Garanti BBVA). The price of the Theory Programme included in the fee is 49,90 € / 3.290 TL. The instructor training is delivered in online sessions. The fee includes access to the Theory Programme, the instructor training, the Author’s permission and the first Licence Year.
4.2. PADI fees are not included. The Instructor pays any fees PADI charges for the rating application directly to PADI.
4.3. Annual renewal: If the Instructor processes at least 5 Certifications during a Licence Year, the following Licence Year is renewed free of charge. If fewer than 5, the renewal fee is EUR 69 for licensees who buy from Rubelis OÜ, and TRY 3,990 including VAT for licensees who buy from the Turkish seller (Taylan Kırali). This rule applies separately to each Licence Year.
4.4. The number of Certifications is verified using the PADI certification numbers the Instructor enters in the portal and the students’ Theory Programme completion records.
4.5. If the renewal fee is not paid within 30 days of the end of the Licence Year, the licence is suspended.
5. Refunds
5.1. Access to the Theory Programme is opened upon the Instructor’s express request and acknowledgement that, by making it, they lose the right of withdrawal for the Theory Programme price (Directive 2011/83/EU, art. 16(m); for sales by Taylan Kırali, Distance Contracts Regulation art. 15(1)(ğ) and (h)).
5.2. If the Instructor withdraws within 14 days of payment and before attending an instructor training session, the amount paid is refunded less the price of the Theory Programme (49,90 € / 3.290 TL).
5.3. If, at the Instructor’s express request, an instructor training session has started within the 14 days and the Instructor then withdraws, the Instructor pays an amount proportionate to what has been provided up to the withdrawal notice, in addition to the Theory Programme price (Directive 2011/83/EU, art. 14(3)). No refund is given after 14 days have passed. Annual renewal fees are non-refundable.
5.4. Refunds are made within 14 days of receipt of the notice, to the original payment method, free of charge. Further details are in the Cancellation & Refund terms. Mandatory consumer rights, where applicable, are not affected.
6. Instructor’s obligations
6.1. Teach the Course in full compliance with the Instructor Outline, PADI standards, PADI safety procedures and the PADI code of ethics.
6.2. Verify by QR verification that every student has completed the Theory Programme before the first dive, and use no other theory content.
6.3. Record every Certification in the portal.
6.4. Use the Rubelis name and logos only in line with Rubelis’s guidelines, and never present the Course as the Instructor’s own.
6.5. Be solely responsible for the dive activities and the safety of their students, and hold any insurance required by local law.
6.6. Process students’ personal data in line with the GDPR and applicable local data protection law.
7. Materials and intellectual property
7.1. All rights in the Course, the Materials and the Theory Programme belong to Rubelis OÜ, regardless of which Seller sold the instructor training.
7.2. Materials are watermarked with the Instructor’s name. The Instructor may not copy, share, sell or give third parties access to the Materials.
7.3. The Instructor may purchase Theory Programme access for students through the portal at a 30% discount. Such access is for the Instructor’s own students only.
8. Withdrawal of permission
8.1. Rubelis may withdraw the Author’s permission and the licence if a breach by the Instructor of PADI safety standards, the PADI code of ethics, or Sections 6 and 7 of this agreement is proven.
8.2. A breach is deemed proven where: (a) PADI issues a quality management decision or sanction to that effect; (b) a competent court or public authority so decides; or (c) the Instructor fails to give an adequate response within 14 days to a written, documented notice from Rubelis.
8.3. On withdrawal, portal access is closed, the Instructor is removed from the instructor directory, the Instructor may not start new Courses, and Rubelis informs PADI. Fees paid are not refunded. Certifications already processed through PADI are not affected.
9. Term and termination
9.1. The agreement renews for each Licence Year under Section 4.3.
9.2. The Instructor may terminate the agreement at any time by written notice; fees paid are not refunded except under Section 5.
9.3. The obligations in Section 7 survive termination.
10. Liability
10.1. Rubelis is not liable for courses taught or dives conducted by the Instructor, or for any loss arising from them. The Instructor indemnifies Rubelis against third-party claims arising from the Instructor’s activities.
10.2. Nothing in this agreement excludes or limits liability for intent or gross negligence, liability for death or personal injury caused by fault, or any other liability that cannot be excluded or limited under applicable law (including the Estonian Law of Obligations Act and, for sales by Taylan Kırali, Turkish Code of Obligations art. 115).
11. Governing law and jurisdiction
11.1. Where the Seller is Rubelis OÜ, this agreement is governed by Estonian law, and disputes fall under the jurisdiction of Harju County Court (Harju Maakohus), Tallinn.
11.2. Where the Seller is Taylan Kırali (Instructors who are citizens of the Republic of Türkiye and live in Türkiye), this agreement is governed by Turkish law, and disputes fall under the jurisdiction of the İstanbul courts.
11.3. If the Instructor acts as a consumer, mandatory consumer protection rules of the Instructor’s country of residence, including the right to bring proceedings in the courts of that country, are not affected.
12. Language and acceptance
12.1. This agreement is made in Turkish and English and is concluded in the language of the form used (Turkish or English).
12.2. The agreement is concluded by the Instructor’s digital acceptance in the membership form. The date, time and IP address of the acceptance are recorded, and a copy of the agreement is emailed to the Instructor.
12.3. Rubelis may update this agreement for future licences. Changes do not affect an agreement already concluded; the version accepted by the Instructor, recorded at acceptance, continues to apply.
